Terms of Service

Please read this LongBoat Node Agreement (this “Agreement”) carefully before using the LongBoat Node software (the “Node Software”) and before purchasing, accessing, or using a LongBoat Node (a "Node").

By accessing or using the Node Software or purchasing, accessing, or using a Node, you agree that you have read, understand, and accept all of the terms and conditions contained in this Agreement. If you do not agree to all of the terms and conditions of this Agreement, you are not permitted to access or use the Node Software or purchase, access, or use a Node.

1. ELIGIBILITY REQUIREMENTS

1.1 GENERAL. To be eligible to access or use the Node Software or purchase, access, or use a Node, you must satisfy each of the following eligibility requirements:

• You are at least eighteen (18) years of age or are the legal age for entering legally binding agreements under applicable law.

• You are not located in a jurisdiction where participation is prohibited by law.

• No Know Your Customer (KYC) verification is required to participate.

2. NODE SOFTWARE AND NODES

2.1 USE OF NODE. Each LongBoat Node represents fractional ownership of the revenues generated by leasing shipping containers. These containers are leased to logistics companies for a fixed monthly fee. Lease agreements ensure that logistics companies pay a consistent monthly amount, which is distributed to Node holders each month. Node holders must claim their rewards; if not done for an extended period, rewards may be forfeited.

2.2 EXPECTED RETURNS. The expected APY of the LongBoat Nodes is 21.6% in USDC, distributed monthly, for a duration of 15 years. However, returns are not guaranteed, and past performance is not indicative of future results.

3. CLAIMING AND EXPIRATION OF REWARDS

3.1 CLAIMING REWARDS. Node holders are responsible for claiming their rewards within the designated period. Rewards that are not claimed within the specified time frame may be forfeited.

4. GOVERNING LAW

4.1 UAE. Ras Al Khaimah Economic Zone Authority(RAKEZ).

5. DISCLAIMERS AND LIMITATIONS OF LIABILITY

5.1 NO GUARANTEE OF RETURNS. While revenue is generated through container leasing, the Company does not guarantee specific returns. Market conditions, operational costs, and other factors may impact profitability.

5.2 LIMITATION OF LIABILITY. The Company shall not be liable for any consequential, indirect, incidental, or special damages of any type or nature, including but not limited to lost profits or revenues, arising out of or relating to the Node Software.

6. MODIFICATIONS TO AGREEMENT

6.1 AMENDMENTS. This Agreement may be amended from time to time at the discretion of the Company. Continued use of the Node Software or participation constitutes acceptance of any modifications to this Agreement.

By purchasing, accessing, or using a LongBoat Node, you acknowledge that you have read, understood, and agreed to these Terms of Service.
